Non-Disclosure Agreements

In exploring a potential research project with a company, both parties may need to provide, exchange or receive information that is confidential. When a party is disclosing confidential information, there should be an agreement that defines the use and obligations associated with the confidential information. If you need to exchange or provide confidential information outside ISU, our office will negotiate and execute an appropriate Non-Disclosure Agreement (NDA) on behalf of ISU or Iowa State University Research Foundation (ISURF). OIPTT has developed template agreements to meet the needs of both ISU and the other parties.  OIPTT prefers to use these agreements.

Our office handles NDAs with industry, local, state and federal agencies, universities, foundations and other non-profits. OIPTT endeavors to negotiate NDA terms that permit publication of the research results and that do not conflict with obligations under funding terms related to the research.

Material Transfer Agreements

If you need research materials from outside ISU, or you wish to transfer materials from ISU to outside researchers, our office will negotiate and execute an appropriate Material Transfer Agreement (MTA) on behalf of ISU or Iowa State University Research Foundation (ISURF). OIPTT has developed template agreements to meet the needs of both ISU and the other parties.  OIPTT prefers to use these agreements.  If the material is being purchased or sold then Procurement Services will handle the material transfer agreement.
